These Terms of Service ("Terms") govern your use of the services provided by Nexaris Capital Inc., doing business as Hillside Landscape ("Hillside," "we," "us," or "our"), including our website at hillsidels.com, text message communications, and all landscaping and property maintenance services. By using our services, you agree to these Terms.

1. Services

Hillside Landscape provides residential and commercial landscaping services including but not limited to: lawn care and maintenance, landscape design and installation, hardscaping, seasonal cleanups, fertilization, bush and shrub trimming, snow and ice removal, and related property maintenance services.

All services are provided in our service area, which includes Glenview, Northbrook, Riverwoods, Deerfield, Lincolnshire, and surrounding communities in the North Shore and Lake County, Illinois.

2. Service Agreements

Individual services and service plans are governed by the specific service agreement or contract signed between you and Hillside Landscape. These Terms supplement but do not replace any signed service agreement. In the event of a conflict between these Terms and a signed service agreement, the service agreement shall prevail.

3. Quotes and Pricing

• Quotes are valid for 30 days from the date issued unless otherwise stated
• Prices are based on the scope of work described in the quote or service agreement
• Additional work beyond the original scope may result in additional charges, which will be communicated to you before the work is performed
• Seasonal maintenance plans are billed monthly during the active season (typically April through November) unless a pay-in-full option is selected

4. Payment Terms

• Payment is due upon receipt of invoice unless other arrangements have been made in writing
• We accept payment via ACH bank transfer, Zelle, credit card, and debit card
• Invoices not paid within 30 days of the due date may be subject to a late fee of 1.5% per month on the outstanding balance
• We reserve the right to suspend services on accounts with past-due balances

5. Scheduling and Access

• You agree to provide reasonable access to your property for scheduled services
• Service days may vary due to weather, holidays, or scheduling adjustments. We will notify you of significant schedule changes.
• If access to your property is restricted (locked gates, pets, etc.), please inform us in advance so we can make appropriate arrangements

6. Text Message Communications

By providing your phone number, you consent to receive text messages from Hillside Landscape related to your services, including:

• Appointment confirmations and reminders
• Quote and invoice notifications
• Service updates and scheduling changes
• Follow-up communications about completed or upcoming work

Message frequency varies based on your service schedule and account activity. Standard message and data rates may apply.

You may opt out of text messages at any time by replying STOP. Reply HELP for assistance. Opting out of text messages will not affect your service — we will communicate via phone or email instead.

Your consent to receive text messages is not a condition of purchasing services from Hillside Landscape.

7. Cancellation Policy

• One-time services: Cancellations made at least 24 hours before the scheduled service date will not be charged. Cancellations made with less than 24 hours' notice may be subject to a cancellation fee.
• Recurring service plans: You may cancel your service plan at any time with 14 days' written notice. You are responsible for payment for all services performed up to the cancellation date.
• Seasonal contracts: Cancellation terms are specified in your signed service agreement.

8. Liability and Warranty

• We carry comprehensive general liability insurance and workers' compensation coverage for all work performed on your property
• We will exercise reasonable care in performing all services. If property damage occurs as a direct result of our negligence, we will repair or compensate for the damage at our expense.
• We are not liable for damage to underground utilities, irrigation systems, or other features not disclosed to us prior to service
• Plant material installed by Hillside Landscape carries a one-season warranty under normal growing conditions, provided the customer follows our recommended care instructions
• Our total liability for any claim shall not exceed the amount paid by you for the specific service giving rise to the claim

9. Weather and Force Majeure

Services may be delayed or rescheduled due to weather conditions, natural disasters, pandemics, or other events beyond our reasonable control. We will make reasonable efforts to reschedule affected services promptly.

10. Website Use

The content on our website is provided for general informational purposes. While we strive to keep information accurate and current, we make no warranties about the completeness or accuracy of website content. Use of our website is governed by our Privacy Policy.

11. Intellectual Property

All content on our website, including text, images, logos, and design elements, is the property of Hillside Landscape, Inc. and is protected by applicable intellectual property laws. You may not reproduce, distribute, or use our content without written permission.

12. Dispute Resolution

We are committed to resolving disputes fairly and promptly. If you have a concern about our services, please contact us directly. Any disputes that cannot be resolved informally shall be governed by the laws of the State of Illinois, with venue in Lake County, Illinois.

13. Changes to These Terms

We may update these Terms from time to time. Any changes will be posted on this page with an updated "Last updated" date. Continued use of our services after changes are posted constitutes your acceptance of the revised Terms.
